1. Introduction

This Furniture Wholesale Agreement (“Agreement”) outlines the terms under which Creative Furniture, Inc. (“Wholesaler”) agrees to sell products to the Purchaser (“Purchaser”) for resale. By engaging in wholesale purchasing, the Purchaser agrees to the following terms and conditions.

2. Products Offered

Creative Furniture, Inc. offers a wide range of modern and Italian-inspired furniture available for wholesale. Products and pricing are detailed in our wholesale catalog, updated periodically.

3. Wholesale Pricing & Payment Terms

  • Prices are based on our current wholesale price list.

  • Payment terms: [e.g., Net 30, COD, or Prepayment—customizable per account].

  • Late payments are subject to a 1.5% monthly finance charge on outstanding balances.

4. MAP (Minimum Advertised Price) Policy

The Purchaser must strictly comply with Creative Furniture's MAP Policy:

  • Advertising products below the published MAP is prohibited.

  • The MAP Policy helps protect brand value and ensure fair competition among dealers.

  • Violations may lead to immediate account suspension or termination.

5. Order Fulfillment & Shipping

  • Orders ship FOB from our warehouse unless otherwise stated.

  • The Purchaser covers all shipping, insurance, and handling costs.

  • Estimated lead times are shared at the time of ordering.

6. Returns & Claims

  • All return requests must be approved in writing. A 35% restocking fee may apply.

  • Damaged or defective item claims must be submitted within 5 business days of delivery, with photo documentation.

7. Termination of Agreement

  • This Agreement remains in effect until terminated by either party with 30 days’ notice.

  • Violations of MAP or payment terms may result in immediate termination without notice.

8. Use of Branding & Intellectual Property

  • Purchaser may not use Creative Furniture branding, logos, or materials without prior written consent.

9. Governing Law

This Agreement is governed by the laws of the State of New Jersey. All disputes will be handled in the courts of Hunterdon County, NJ.

10. Acceptance

By creating a wholesale account or placing a wholesale order, the Purchaser acknowledges and agrees to all terms outlined in this Agreement.
